Nairo Product Terms

These Nairo Product Terms (“Product Terms”) govern the use of Nairo’s artificial intelligence features, research capabilities, document analysis tools, agents, copilots, automation features, and related platform functionality (collectively, the “AI Services”) provided by People Future S.L., operating under the commercial name Nairo (“Nairo”, “we”, “us”, or “our”).
These Product Terms supplement and form part of the applicable agreement governing the use of the Services, including any Master Services Agreement, Order Form, Platform Agreement, pilot agreement, design partner agreement, or other written agreement entered into between Nairo and the applicable customer (the “Agreement”).
Where no separate written agreement applies, these Product Terms govern access to and use of the AI Services made available by Nairo, together with any additional terms, notices, or policies presented at the time of access.
These Product Terms apply to all customers, authorized users, administrators, contractors, affiliates, and other users accessing or using the AI Services.
By accessing or using the AI Services, users acknowledge and agree that:
- the AI Services are designed to assist professional workflows and operational processes;
- outputs generated by artificial intelligence systems may contain inaccuracies, omissions, or incorrect information;
- human review and professional judgment remain required; and
- the AI Services are not intended to replace professional, legal, regulatory, underwriting, compliance, financial, medical, or other specialized advice.
In the event of a conflict between these Product Terms and the applicable Agreement, the applicable Agreement shall prevail unless expressly stated otherwise with respect to a specific feature or service.
Definitions
For the purposes of these Product Terms, the following definitions apply:
“AI Services” means Nairo’s artificial intelligence-powered features, agents, copilots, assistants, research tools, automation capabilities, document analysis functionality, workflows, and related platform features made available as part of the Services.
“Input” means any data, prompts, text, files, documents, images, instructions, queries, communications, or other information submitted, uploaded, transmitted, or otherwise provided by a customer or user to the AI Services.
“Output” means any content, response, analysis, summary, recommendation, extraction, generation, classification, insight, workflow result, or other material generated or returned by the AI Services based on Input.
“Customer Data” means any data, documents, content, materials, communications, or information provided, uploaded, stored, or processed by or on behalf of a customer or its users through the Services, including Input and Output.
“Documentation” means Nairo’s technical, operational, product, security, or usage documentation, guidance, policies, and materials made available by Nairo from time to time.
“Authorized User” means any individual authorized by a customer to access or use the Services pursuant to the applicable Agreement.
“Third-Party AI Provider” means any third-party provider of artificial intelligence models, inference services, machine learning infrastructure, or related AI technologies used in connection with the AI Services.
AI Services and Permitted Use
Subject to the applicable Agreement, Nairo grants customers and their Authorized Users a limited, non-exclusive, non-transferable right to access and use the AI Services for legitimate internal business purposes and in accordance with these Product Terms, the Acceptable Use Policy, and applicable laws and regulations.
The AI Services are designed to support professional workflows, research, analysis, operational efficiency, collaboration, and knowledge management. Certain AI Services may include document analysis, information extraction, summarization, conversational assistants, research capabilities, workflow automation, and AI-generated recommendations or insights.
Customers remain solely responsible for:
- determining whether the AI Services are appropriate for their intended use cases;
- reviewing and validating all Output before relying on it;
- maintaining appropriate human oversight and internal controls; and
- ensuring that their use of the AI Services complies with applicable legal, regulatory, contractual, and professional obligations.
Nairo may update, improve, modify, add, remove, suspend, or discontinue features or functionality of the AI Services from time to time in the ordinary course of product development, security maintenance, infrastructure operations, or compliance activities.
Certain AI Services or features may be identified as beta, preview, experimental, pilot, or early-access functionality. Such features may be subject to additional limitations, reduced availability, modification, or discontinuation without notice.
Input and Output
Customers and Authorized Users may provide Input to the AI Services and receive Output generated by the AI Services based on such Input.
Customers are solely responsible for:
- the legality, accuracy, quality, and appropriateness of their Input;
- ensuring that they have all necessary rights, permissions, authorizations, and legal bases to provide Input to the AI Services;
- verifying and validating Output before relying on, distributing, publishing, or using it; and
- ensuring that the use of Input and Output complies with applicable laws, regulations, contractual obligations, and professional standards.
The AI Services may generate Output that is inaccurate, incomplete, outdated, misleading, offensive, biased, inconsistent, or unsuitable for a particular purpose. Output may vary depending on prompts, context, model behavior, system changes, or other factors.
Customers acknowledge and agree that:
- Output does not constitute professional advice or factual guarantees;
- Output should not be relied upon without appropriate human review and professional judgment;
- AI-generated responses may contain errors, hallucinations, omissions, or incorrect assumptions; and
- the AI Services are probabilistic systems that may not always produce accurate or reliable results.
Customers are responsible for establishing appropriate review, approval, escalation, and oversight processes for any use of Output within their organization.
Ownership and Rights
As between Nairo and the customer, the customer retains all rights, title, and interest in and to Customer Data, including Input and Output, to the extent permitted by applicable law.
Nairo retains all rights, title, and interest in and to:
- the Services and AI Services;
- the platform architecture, model orchestration, configurations, workflows, systems, interfaces, and underlying technology;
- Documentation;
- product methodologies, workflows, operational processes, and know-how; and
- all related intellectual property rights, improvements, enhancements, modifications, and derivative works related to the Services.
Except for the limited rights expressly granted under the applicable Agreement, no rights are granted to the customer or any user by implication, estoppel, or otherwise.
Customers grant Nairo a limited, non-exclusive, worldwide right to process, host, transmit, store, analyze, and use Customer Data solely:
- to provide, operate, secure, support, and maintain the Services;
- to prevent fraud, abuse, misuse, or security incidents;
- to comply with applicable laws and legal obligations; or
- as otherwise authorized under the applicable Agreement.
To the extent permitted by applicable law, Nairo may generate and use aggregated, anonymized, or de-identified usage and operational data that does not identify the customer, its users, or any individual for purposes such as:
- service analytics;
- security and operational monitoring;
- product improvement;
- infrastructure optimization; and
- business reporting and benchmarking.
Artificial Intelligence Limitations and Human Review
The AI Services are intended to support and assist professional workflows and operational processes and are not a substitute for independent professional judgment, expertise, review, or decision-making. For additional information about AI-generated outputs, see our AI disclaimer.
Customers and Authorized Users acknowledge and agree that:
- the AI Services may generate inaccurate, incomplete, inconsistent, or misleading Output;
- Output may not reflect current laws, regulations, policies, market conditions, or factual circumstances;
- the AI Services do not provide legal, regulatory, underwriting, compliance, accounting, financial, medical, or other professional advice; and
- AI-generated Output must be independently reviewed and validated by appropriately qualified individuals before being relied upon or implemented.
Customers are solely responsible for:
- evaluating the suitability of the AI Services for their use cases;
- establishing appropriate governance, review, and approval processes;
- ensuring appropriate human oversight over AI-assisted workflows and decisions; and
- determining whether Output is appropriate, accurate, compliant, and fit for use.
The AI Services must not be used as the sole basis for decisions involving:
- legal rights or obligations;
- insurance coverage or underwriting determinations;
- regulatory or compliance decisions;
- employment or hiring decisions;
- financial or investment decisions;
- safety-critical operations; or
- other high-risk or legally significant outcomes without appropriate human review and oversight.
Nairo does not guarantee that the AI Services or Output will be uninterrupted, error-free, secure, complete, or suitable for any specific purpose or use case.
Similarity of Output
Due to the nature of artificial intelligence and machine learning technologies, Output generated by the AI Services may not be unique.
Customers acknowledge and agree that:
- other users or customers may provide similar Input to the AI Services; and
- the AI Services may generate similar or identical Output for different users, customers, or use cases.
Output generated for other customers or users is not considered Customer Data belonging to the customer.
Nairo does not guarantee exclusivity, originality, or uniqueness of Output generated through the AI Services.
The similarity of Output across users, prompts, or use cases does not by itself create or transfer ownership rights between customers or users.
Third-Party AI Providers and Model Usage
The AI Services may incorporate or rely on artificial intelligence models, infrastructure, inference services, or related technologies provided by Third-Party AI Providers.
Customers acknowledge and agree that:
- certain AI functionality may depend on third-party systems or providers outside Nairo’s direct control;
- the availability, performance, behavior, or functionality of certain AI features may change over time;
- Nairo may update or replace Third-Party AI Providers in the ordinary course of operating and improving the Services; and
- Third-Party AI Providers may impose technical, operational, or usage limitations applicable to certain AI features.
Nairo seeks to use Third-Party AI Providers that provide contractual commitments and technical controls intended to restrict the use of Customer Data for public model training purposes.
Where applicable, Nairo implements reasonable technical and organizational measures designed to minimize unnecessary exposure of Customer Data to Third-Party AI Providers and to support secure processing practices.
Additional information regarding subprocessors and third-party providers may be made available through Nairo’s Subprocessors List, Security Documentation, or applicable customer agreements.
No Training on Customer Data
Nairo does not use Customer Data, Input, Output, uploaded documents, workspace content, prompts, or other customer-provided information to train public or shared artificial intelligence models.
Nairo seeks to use Third-Party AI Providers under terms and configurations intended to prevent the use of Customer Data for training public or shared models.
Customers acknowledge that certain limited technical processing, transient storage, safety filtering, abuse monitoring, logging, or operational handling by Third-Party AI Providers may occur as part of providing the AI Services, subject to applicable contractual, technical, and security safeguards.
Nairo may use aggregated, anonymized, or de-identified operational and usage information that does not identify customers, users, or individuals for purposes such as:
- maintaining and improving the Services;
- platform analytics and reliability;
- security monitoring and abuse prevention;
- infrastructure optimization; and
- service performance analysis.
Availability, Modifications, and Feature Changes
Nairo may modify, enhance, update, suspend, restrict, replace, or discontinue portions of the AI Services from time to time in the ordinary course of operating and improving the Services.
The AI Services may evolve over time due to:
- changes in underlying artificial intelligence technologies;
- updates to models, infrastructure, or providers;
- security, legal, or regulatory requirements;
- product development and operational improvements; or
- modifications to third-party systems or dependencies.
Customers acknowledge that:
- certain AI features may produce different Output over time;
- model behavior and performance may change;
- certain features may be added, modified, limited, or removed; and
- compatibility with third-party systems or integrations may change over time.
Nairo will use commercially reasonable efforts to avoid material disruption to the Services but does not guarantee uninterrupted availability or permanent availability of any specific feature, model, integration, or functionality.
Certain AI Services or features may be offered as beta, preview, pilot, or experimental functionality and may be subject to additional limitations, reduced support commitments, modification, suspension, or discontinuation at Nairo’s discretion.
Suspension and Enforcement
Nairo reserves the right to suspend, restrict, disable, or terminate access to the AI Services, in whole or in part, where reasonably necessary to:
- protect the security, integrity, availability, or lawful operation of the Services;
- prevent fraud, abuse, misuse, unauthorized access, or security incidents;
- comply with applicable laws, regulations, legal obligations, or governmental requests;
- address violations of the Agreement, these Product Terms, the Acceptable Use Policy, or other applicable policies; or
- mitigate material legal, operational, cybersecurity, or reputational risk.
Where reasonably practicable, Nairo may provide notice prior to suspension or restriction of access. However, Nairo may take immediate action without prior notice where necessary to protect the Services, customers, users, systems, infrastructure, or third parties.
Customers remain responsible for the actions and activities of their Authorized Users and for ensuring compliance with these Product Terms and applicable policies.
Nairo’s rights under this section are cumulative and do not limit any additional rights or remedies available under the applicable Agreement or law.
Modifications to these Product Terms
Nairo may update or modify these Product Terms from time to time to reflect:
- changes to the AI Services or platform functionality;
- developments in artificial intelligence technologies;
- security, operational, or infrastructure requirements;
- changes in applicable laws, regulations, or industry standards; or
- business and product evolution.
When material changes are made, Nairo may provide notice through the Services, website, email communications, customer notifications, or other reasonable means where appropriate.
The “Last updated” date at the top of these Product Terms indicates when the latest version became effective.
Continued use of the AI Services after updated Product Terms become effective constitutes acceptance of the revised Product Terms, unless otherwise specified in the applicable Agreement.
